Welcome to Miko TV!
Thank you for using our products and/or services (hereinafter referred to as "this Service Agreement", "our Services" or "Services"). This is intended to explain your use of Miko TV and other related applications, websites, and other products and/or services (hereinafter referred to as "Miko TV Services" or "our Services") provided by our company registered in the Marshall Islands.
The user services specifically refer to the corresponding products, services, and/or functions we provide through the Miko TV platform, including but not limited to software, websites, services (including off-site services, such as advertising services and plug-ins that "apply or share through our services"), and are limited to use in specific countries/regions. It is hereby stated that the Miko TV services do not include services in mainland China. The Miko TV platform refers to the corresponding website/mobile/TV applications or other platforms operated, managed, or owned by us for user services (hereinafter referred to as "our platform" or "platform").
By using our services, you confirm that you understand and agree to this agreement. If you do not accept any terms of this agreement, you should immediately stop using the Miko TV services.
Operational prompts, Q&A guides, user help on our platform, and other business rules, process specifications, policies, or notifications issued to you from time to time on our platform all constitute part of the Miko TV Service Rules and this agreement.
1.1 You must be at least 18 years old to use the Miko TV services.
We attach great importance to the protection of minors. The age definition of minors may vary in different countries/regions. If you are over 18 years old but are still considered a minor under local laws, you should read this agreement under the guidance of your guardian and can only use our services with the explicit consent of your guardian. We have the right to request evidence of such consent from the guardian when necessary.
1.2 We use various technologies to provide you with the best viewing experience. However, the quality of the videos you can watch (such as whether you can use high definition or 4K ultra-high definition, Dolby audio, etc.) may be affected by factors such as video format, the device you use, your bandwidth and/or internet connection speed; at the same time, it may also be affected by the service benefits you may enjoy (such as membership benefits).
1.3 You acknowledge and agree that you can only use our services in the country/region where the account is established, and the video content you can watch may vary depending on the country/region you are in and/or the service benefits you can enjoy (such as membership benefits), and will change from time to time.
1.4 The membership services we provide are subject to a special membership service agreement, which is a supplementary agreement to this agreement. If there is a conflict between the special membership service agreement and the relevant content of this agreement, the content of the special membership service agreement shall prevail.
The special membership service agreement will be displayed to you again on the VIP membership service purchase page. Please read it carefully and purchase the VIP membership service after agreeing to all the content.

2.1.1 You can create an account to use certain features and services of our platform. We preset your account to be bound to your device. If you log in or pay through a third-party account authorization method, in addition to complying with this agreement, you also need to comply with the relevant account usage specifications of the third party.
2.1.2 To ensure you can use our services smoothly, you acknowledge and agree to abide by the following rules when registering and using a Miko TV account:
(1) When registering a Miko TV account, you should provide us with complete, true, and accurate registration information, and you must not use someone else's email, phone number, or other means of impersonating someone else to register an account. Moreover, the nickname, avatar, and profile information you submit during registration must not contain illegal or harmful information;
(2) Except through third-party account authorization methods allowed by us, you must not obtain a Miko TV account through unauthorized or illegal means (including but not limited to purchasing, renting, borrowing, sharing, using, or destroying the Miko TV registration system);
(3) You only have limited usage rights for the Miko TV account, and your Miko TV account can only be used for personal, non-commercial purposes;
(4) You are responsible for properly and correctly keeping, using, and maintaining your Miko TV account and password. You must not transfer, rent, lend, sell, share, or allow others to use your Miko TV account in any way. You are responsible for all actions conducted through the Miko TV account you have the right to use.
2.1.3 If you engage in any of the following behaviors, we have the right to suspend or permanently terminate your account usage, log out or retrieve your Miko TV account, interrupt or terminate the provision of Miko TV services to you, and we shall not bear any responsibility:
(1) Upon your request;
(2) If you violate any content of this agreement;
(3) According to laws, regulations, or regulatory policies;
(4) If your account has not been used for 365 consecutive days;
(5) If we have reason to believe that your behavior harms (or may harm) the legitimate rights and interests of Miko TV and/or others.
2.1.4 To protect the security of your account, we may adopt different methods to verify your identity, including but not limited to verification through mobile messages or emails. If you refuse or fail to complete the verification, or if we have reasonable grounds to suspect that your account has been stolen or is abnormal, we may suspend/stop providing Miko TV services to you or take further measures.
2.1.5 If your account (or password) is lost for reasons not attributable to you and you need to recover it, you must follow our officially announced recovery process and provide corresponding proof materials. If the materials you provide are untrue or do not meet the requirements, you may not pass our security verification, which may result in account recovery failure, and the corresponding risks and losses will be borne by you.
2.1.6 Account Logout
We provide you with the function to log out of your Miko TV account. You can send an email to mikotv@proton.me to log out of your account unless otherwise stipulated by applicable laws and regulations or this agreement.
We kindly remind you that once your account logout is successful:
(1) You will no longer be able to use your Miko TV account;
(2) You will automatically forfeit any rights and future expected benefits that have arisen but have not yet been consumed from using the Miko TV services, and you have no right to ask us to retrieve any content, information, materials, or records under your account, unless otherwise required by applicable laws and regulations and/or regulatory authorities;
(3) Once the account logout is completed, it cannot be restored.
Except as otherwise provided in this agreement, your account logout must also meet the following conditions:
(1) The account is your own account and must be registered through Miko TV products;
(2) The account does not have any unfinished transactions or cash assets;
(3) If the account had enabled the "automatic renewal" function, please ensure you have canceled the "automatic renewal" function;
(4) The account does not have any unresolved disputes (including but not limited to complaints, reports, lawsuits, arbitration, regulatory investigations);
(5) Other conditions necessary to protect your account security and property rights.
At the same time, you acknowledge and agree that logging out of your account does not exempt you from any responsibilities arising from using the account.
2.2 To protect the security of your account and prevent account theft or malicious sharing, you acknowledge and agree that we may limit the number of device terminals that can log in to the same account simultaneously. Generally, the same account can only be used on one device, and specific restriction rules are subject to our explanation on the relevant page or the actual restrictions we make. We have the right to change the aforementioned restriction rules. If your account exceeds the usage limits, or if there are cross-end or multi-end logins, we may take one or more measures (such as SMS, email) to verify the account user's identity. If the verification is unsuccessful, we have the right to refuse to continue providing services to that account and/or take further measures.
This product provides membership subscription services and virtual currency recharge services for unlocking content. Please carefully read the "Miko TV VIP Membership Service Agreement" before subscribing to the membership services and confirm it. For recharge services other than subscriptions, Miko TV has the right to decide the standards and charges for the services provided and to indicate the tariff standards on the relevant service pages. Users have the right to choose whether to pay the corresponding fees to continue using the paid services provided by this software. After recharging, users obtain corresponding virtual currency, which can be used to purchase paid services provided by this software. Once the user successfully recharges, they may not request a refund of all or part of the recharged amount for any reason, except in cases where the agreement is terminated due to force majeure or unilateral reasons of Miko TV. If any accidental failure occurs during the recharge process, please contact us, and we will do our best to help resolve your problem.
3.1 You should access and use the Miko TV services under this agreement and applicable laws and regulations. You may only use the Miko TV services for personal, non-commercial purposes. Commercial use requires separate written permission from us. You agree not to conduct or facilitate others to conduct the following activities using the Miko TV services. Otherwise, you shall bear all responsibilities and consequences arising therefrom, and if any loss and/or adverse impact is caused to us, you shall fully compensate and eliminate the adverse impact:
3.1.1 Endanger minors and/or others in any way;
3.1.2 Engage in activities that infringe the legitimate rights and interests of Miko TV or others or illegal and criminal activities, including providing assistance for such activities;
3.1.3 Without Miko TV's prior explicit written permission, obtain Miko TV platform services, content, materials (including other users' personal information) in any way (including but not limited to robot software, spider software, crawler software, any automatic program, code, software) and for any reason;
3.1.4 Circumvent, remove, alter, obstruct, destroy, or otherwise disrupt Miko TV's security measures for protecting the Miko TV services;
3.1.5 Without Miko TV's explicit authorization, use the Miko TV service content in any public place for a fee or free (except when such behavior does not constitute infringement);
3.1.6 Use Miko TV services in an improper or dishonest manner (such as exploiting rule loopholes, system vulnerabilities, abusing membership identity, black market industries, speculation, and other methods contrary to the original intention of Miko TV services);
3.1.7 Forge content (including titles) in any way to make it appear that the content was sent by us;
3.1.8 Upload, release, send emails, or otherwise transmit software viruses, political propaganda, commercial solicitations (such as advertising letters, promotional materials), chain letters, mass mailings, or other forms of "junk mail," infringing any patents, trademarks, copyrights, trade secrets, or other proprietary rights, and/or content you have no right to transmit (such as internal information, confidential information).
The "Privacy Policy" describes how we collect, process, and protect your personal information when you use our services and your control over your personal information. Please read it carefully.
4.1 Regarding the content protected by intellectual property rights that you use, we own or are authorized to use in the Miko TV services provided or obtained through the Miko TV services (including but not limited to software, interfaces, interactive elements, logos, trademarks, icons, graphics, text, words, sounds, audio, videos, portraits, images, technology, materials, hereinafter referred to as "Miko TV Content"), we reserve all rights to the Miko TV content.
4.2 Without our authorization, you shall not reproduce, distribute, rent, exhibit, perform, screen, broadcast, disseminate, produce, adapt, translate, compile, create derivative works from, or provide for sale the Miko TV content and services.
4.3 Regarding the software (and its technology) in the Miko TV services
4.3.1 During your use of the Miko TV services, you may need to download our software. We only grant you a revocable, limited, non-transferable, and non-exclusive license for the software. You may only download and use the software for non-commercial access/use of the services.
4.3.2 To improve user experience and ensure the security and consistency of the products and services, we may update the software. We recommend that you update the software to the latest version.
4.3.3 You shall not reproduce, modify, release, sell or rent any part of our services or software contained, nor conduct reverse engineering, decompile, disassemble, or other similar behaviors to extract the software source code.
5.1 You acknowledge and agree that we reserve the right to place commercial advertisements (including advertisement links) or any type of commercial information in various ways in providing Miko TV services, subject to applicable laws and regulations (including but not limited to placing advertisements in any position on the Miko TV platform).
5.2 Subject to applicable laws and regulations, we have the right to independently decide the form, duration, position, and content of advertisements without any third-party interference.
5.3 You acknowledge and agree that we may send you promotional or other related commercial information through your email, SMS, or other means, and we will provide you with a means to unsubscribe.
5.4 Our services may provide links to other international internet websites or resources. We will require advertisers to fulfill their relevant obligations following applicable laws and regulations. Still, you acknowledge and agree that these advertisers and advertisement content are not controlled by us. You should carefully judge the authenticity and reliability of advertisement information. Any behavior or disputes arising between you and advertisers or advertisement owners are your responsibility and should be resolved by you. Except as required by applicable laws and regulations for the advertiser to assume responsibility, we do not bear any additional responsibility but will provide necessary assistance as needed according to the law.
6.1 Nothing in this agreement affects your statutory rights as a user that cannot be altered or waived by contract. This agreement and all disclaimers and limitation of liability clauses contained herein apply to the maximum extent permitted by applicable laws and regulations.
6.2 You acknowledge and agree that, unless otherwise provided in this agreement or required by applicable laws and regulations, the Miko TV services are provided on an "as is" basis. We do not make any explicit or implied commitments or warranties for the services provided (including technology and information), including but not limited to the content of the services, specific features of the services, their reliability, availability, or whether they can meet your needs. Still, we promise to continuously improve service quality and levels to provide users with better services. Unless otherwise required by applicable laws and regulations, we only bear the maximum responsibility allowed by law for the services provided. We do not bear any responsibility for any indirect, incidental, derivative, or punitive losses and/or damages caused by the services, including loss of profits, business reputation, business opportunities, data, or other tangible or intangible losses. We are also not liable for any defamation, crime, or other illegal behavior by any third party, nor do we compensate for any loss caused to you.
6.3 We only bear direct responsibility explicitly agreed in this agreement. Unless otherwise provided by applicable laws and regulations or this agreement, we do not bear any additional responsibility in any case, and our total compensation liability under this agreement does not exceed the total service fees we charge you for providing the services.
6.4 You agree that if any of your actions cause us or any third party using Miko TV services to suffer lawsuits or other disputes, you agree to provide a defense for us or such third parties and compensate us or such third parties for the losses incurred when we request:
6.4.1 You violate any clause of this agreement;
6.4.2 Your behavior infringes or is suspected of infringing any intellectual property rights or other legal rights;
6.4.3 Any claim that your behavior damages third-party rights.
You should do your best to cooperate with us in defending relevant claims. We reserve the right to independently defend and control any matters arising from your claims.
6.4.4 You acknowledge and agree that we have the obligation to disclose any personal identity information suspected of violating this agreement issued on our platform according to the requirements of relevant judicial enforcement agencies, administrative agencies, and courts. Without the obligation to keep relevant information confidential and without assuming any responsibility for any disclosure behavior, we may notify you of such investigations.
You acknowledge and agree that you waive any claims against us and hold us harmless for any losses caused by actions we take during the investigation or actions taken by us or any law enforcement regulatory agency regarding the investigation results.
7.1 To the maximum extent permitted by applicable laws and regulations, we have the right to temporarily or permanently change or terminate Miko TV services (or any part thereof) based on our business development. We shall not bear any liability for breach of contract to you or any third party due to changes or termination of Miko TV services (or any part thereof). If your legitimate rights and interests are affected by changes or termination of Miko TV services (or any part thereof), we will provide you with appropriate compensation based on the confirmed actual loss after your application.
7.2 To the maximum extent permitted by applicable laws, regulations, this agreement, and other platform rules, we have the right to suspend or terminate your use of accounts, log out or retrieve your account, or terminate your use of Miko TV services, or change, delete, transfer the content stored or released on our platform for legitimate reasons.
7.3 The termination, cancellation, or expiration of this agreement does not affect the continued validity of the rights and obligations that have arisen but have not been fulfilled by both parties.
8.1 All notifications to you under this agreement will be made through web announcements, emails, SMS, or other reasonable means. Such notifications will be deemed to have been delivered to you on the day they are sent. If multiple notification methods are used simultaneously, the delivery time shall be the earliest transmission time among the above methods.
8.2 If you have any questions (including inquiries, complaints, etc.) regarding this agreement or the use of Miko TV services, you can contact us through the following methods: (1) send an email to: mikotv@proton.me; (2) other contact methods provided by Miko TV. We will reply to your feedback as soon as possible.
9.1 We may update the content of this agreement at any time, and this agreement will take effect immediately after the update. If such updates substantially reduce your rights under this agreement or result in significant changes, we will notify you through release pages, pop-ups, or other means before this agreement takes effect. Please carefully read the updated version of this agreement before continuing to use the Miko TV services. If you continue to use our services, it means that you have fully read, understood, and agreed to be bound by the revised "Miko TV Service Agreement."
9.2 You acknowledge and agree that we have the right to transfer part or all of our rights and obligations under this agreement to our affiliates. We have the right to transfer the right to claim under this agreement to our affiliates. Therefore, our affiliates have the right to claim according to the relevant rights clauses in this agreement (if such claims comply with applicable laws and regulations). Except for the affiliates, any other party shall not be a third-party beneficiary of this agreement. You acknowledge and agree that in the case of such transfers, we do not need to provide you with any written notice. However, we guarantee that our affiliates will continue to fulfill the obligations under this agreement, and your rights under this agreement will not be harmed by such transfers.
9.3 The headings of this agreement are for convenience only and do not affect the meaning or interpretation of any terms in this agreement.
9.4 In any case, if any one or more clauses of this agreement are deemed invalid, illegal, or unenforceable, it does not affect the validity, legality, and enforceability of the remaining clauses.
9.5 Both parties agree that this agreement shall be governed by and interpreted in accordance with the laws of the Marshall Islands to the maximum extent permitted by applicable laws.
Any dispute arising from or related to this agreement (including but not limited to the execution of this agreement) shall be resolved through friendly negotiations. Any party may also submit the dispute to the International Arbitration Center of the Marshall Islands for arbitration according to the valid arbitration rules of the International Arbitration Center of the Marshall Islands at the time of submission of the arbitration application. The arbitration location shall be in the Marshall Islands, and the arbitration tribunal shall consist of one (1) arbitrator. The language of arbitration shall be English, Spanish, and Chinese. To avoid any doubts, friendly negotiations are not a prerequisite for submitting disputes to the International Arbitration Center of the Marshall Islands. The arbitration award is final and binding on all parties.
